Terms of Service
These Terms of Service ("Terms") govern your access to and use of batchwise.ai and the services offered by BatchWise ("BatchWise", "we", "us"). By creating an account or placing an order, you agree to these Terms. If you are acting on behalf of a company, you represent that you have authority to bind that company.
1. Services
BatchWise provides technology-enabled assurance preparation and verification services for:
- BRSR Core Assurance — reasonable assurance over the 50 key performance indicators mandated under SEBI's BRSR Core framework for top-1000 listed entities
- Value Chain Verification — limited assurance over BRSR value-chain disclosures for supplier organisations
- EU CBAM Declaration Support — preparation of embedded carbon disclosures required under the EU Carbon Border Adjustment Mechanism
- ISAE 3410 GHG Verification — reasonable or limited assurance over greenhouse gas inventories to ISAE 3410 standards
BatchWise's services are a technology-enabled supplement to, not a replacement for, the statutory audit or any other mandatory regulatory engagement. The practitioner of record for any assurance opinion is the independent Chartered Accountant who signs the report; BatchWise provides the data-structuring, evidence-collection, and workflow platform.
2. Eligibility
You must be at least 18 years old and authorised to transact on behalf of the entity whose data you submit. BatchWise is a business-to-business platform and is not intended for personal use.
3. Account and Access
You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at [email protected] if you suspect unauthorised access. You may not share login credentials with third parties or create accounts on behalf of others without their authorisation.
4. Client Data Obligations
You represent and warrant that:
- All documents and data you submit are accurate, complete, and authorised for submission to BatchWise
- You have obtained any internal approvals required to share operational records with a third-party service provider
- The data does not violate any applicable law or third-party confidentiality obligation
The accuracy of the final assurance report is dependent on the accuracy of documents you provide. BatchWise is not liable for errors in reports caused by inaccurate or incomplete source data.
5. Turnaround Commitment
The 72-hour turnaround begins when we confirm that all required documents have been received and are in a processable format. The clock pauses if we raise clarification queries and resumes when you respond. Turnaround times are targets, not guaranteed SLAs; we will notify you promptly if a delay arises.
6. Payment
Prices are fixed per engagement as displayed at the time of order and denominated in Indian Rupees (INR). All amounts are inclusive of applicable GST unless stated otherwise. Payments are processed via Razorpay. BatchWise does not store your payment card details.
Fees are non-refundable once substantive assurance work has commenced (i.e., once we have begun reviewing your submitted documents). If an order is cancelled before commencement, a full refund will be issued within 5 business days.
7. Intellectual Property
The assurance report issued for your engagement belongs to you. BatchWise retains ownership of all platform software, methodology documents, templates, and tooling. No licence to BatchWise's proprietary methodology is granted by these Terms beyond what is necessary to receive the service.
8. Confidentiality
BatchWise will treat your operational documents and financial data as confidential and will not disclose them to third parties except: (a) to sub-processors listed in our Privacy Policy to the extent necessary to deliver the service; (b) as required by law or court order; or (c) with your written consent.
9. Limitation of Liability
To the maximum extent permitted by applicable Indian law, BatchWise's total liability to you for any claim arising from these Terms or the services shall not exceed the fees you paid for the specific engagement giving rise to the claim. BatchWise is not liable for indirect, incidental, special, or consequential damages, including lost profits or regulatory penalties, even if advised of the possibility of such damages.
10. Indemnity
You agree to indemnify and hold harmless BatchWise and its personnel from any claim, loss, or expense (including reasonable legal fees) arising from: (a) inaccurate or unauthorised data you submitted; (b) your violation of these Terms; or (c) your violation of any applicable law or third-party right.
11. Termination
Either party may terminate an account at any time. On termination, your access to the platform ceases and any in-progress engagement will be concluded or cancelled per Section 6. We may suspend or terminate your account immediately if we have reason to believe you have violated these Terms or applicable law.
12. Changes to Terms
We may update these Terms by posting the revised version at this URL and notifying registered users by email at least 15 days in advance. Continued use after the effective date constitutes acceptance of the revised Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator mutually appointed. The seat of arbitration shall be Mumbai, Maharashtra, India. The language of arbitration shall be English.
